Terms of Service

These Terms of Service ("Terms") govern your use of the TagKit application ("the App") provided by NerdLabs ("we," "us," or "our"). By installing or using TagKit, you agree to these Terms.

1. Service Description

TagKit is a Shopify application, embedded in the Shopify admin, that adds tags to a merchant's orders according to rules the merchant sets. It evaluates new and updated orders as they arrive and, on the Pro plan, can apply the rules to orders from the last 60 days, fill tags in from order details (dynamic tags), and remove tags it added when a rule stops matching.

2. Account and Eligibility

• You must have an active Shopify store to use TagKit.
• You must have the authority to grant TagKit access to your Shopify store.
• You are responsible for the rules you and your staff create and for any workflows that rely on the resulting tags.
• You are responsible for the security of your Shopify account and for who on your staff can access the App.

3. Pricing and Billing

• TagKit offers a Free tier, free forever: 3 active rules with every condition and preset, and 7 days of activity history.
• The Micro tier is $3.99/month and adds 15 active rules and 30 days of activity history.
• The Pro tier is $9.99/month and adds unlimited rules, dynamic tags, tag removal when a rule stops matching, and applying rules to the last 60 days of orders.
• Paid tiers are billed through Shopify's billing system. A 7-day free trial applies to your first paid subscription.
• You may change or cancel your plan at any time through Shopify.
• We reserve the right to change pricing with 30 days' notice.

4. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract source code from the App
• Use automated systems to scrape or extract data from the App beyond normal use
• Resell, sublicense, or redistribute access to the App
• Interfere with or disrupt the App's infrastructure

5. Data and Privacy

Your use of TagKit is also governed by our Privacy Policy. By using the App, you consent to the collection and use of data as described therein. TagKit reads order data to evaluate your rules but stores no customer (buyer) personal data.

You retain ownership of all your store data and the rules you create. We claim no ownership rights over your data.

6. Third-Party Services

TagKit runs on Shopify's platform and APIs. Your use of the App is also subject to the Shopify Terms of Service. We are not responsible for the availability, accuracy, or policies of third-party services.

7. Accuracy of Information

TagKit works with the information in your store and the rules you enter. While we strive for reliability:

• Tags reflect your rules and the order details at the time TagKit read the order; an order is usually tagged within seconds but may take longer if Shopify delays notifications or limits requests.
• Shopify only lets TagKit read orders from the last 60 days; older orders are not evaluated.
• Where TagKit cannot reliably tell whether an order is a customer's first, it leaves that order unchanged rather than guess.

8. Limitation of Liability

To the maximum extent permitted by law:

• TagKit is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.
• We are not liable for missed, delayed or incorrect tags, fulfilment or routing errors, lost sales, or other business losses arising from the use of, or reliance on, the App.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime.

10. Termination

• You may terminate your use at any time by uninstalling the App from your Shopify store.
• We may suspend or terminate your access if you violate these Terms.
• Upon termination, your access tokens are deleted immediately and the data held by the App will be deleted within 30 days per our Privacy Policy.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance. We will notify you of material changes via the App or email.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through good-faith negotiation first, then binding arbitration if necessary.
